These Terms of Service ("Terms") govern your access to and use of the website located at pbgai.net and the custom AI agent services provided by Palm Beach Gardens AI LLC ("PBGAI," "we," "us," or "our"). By accessing our website, submitting a form, or using our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

1. Description of Services

PBGAI builds and operates custom AI Voice Agents for local service businesses. Our core service is a voice-enabled widget that lives on a client's website: visitors click a button and hold a real voice conversation that answers their questions, captures their contact information as a lead, and can book appointments or consultations directly. Agents are trained per client on their business details, confirmed during onboarding and in a written Scope of Work, and managed by PBGAI on the client's behalf — including hosting, maintenance, and ongoing optimization. AI Voice Agents are public-facing by default, engaging the client's website visitors and prospective customers; other deployment models are available by separate written arrangement.

2. Fees and Pricing

The pricing for your engagement is confirmed in your Scope of Work and AI Voice Agent Services Agreement. Standard pricing is:

• Activation fee: one-time $249 per client, due before the AI agent goes live.
• Monthly subscription: $69 per month, flat — not capped or metered by call volume or minutes. Covers hosting, infrastructure, ongoing maintenance, and support. Your first month is free.
• Optional integrations (including external CRM push): custom work quoted per job in a written Scope of Work before any work begins, based on the systems involved. PBGAI's own client dashboard is included at no extra charge.

Pricing is listed on our website and subject to change with 30 days' notice. Setup fees are due prior to service activation and are non-refundable once work has begun.

3. Billing and Cancellation

Monthly subscriptions are billed on a recurring monthly basis per active AI Voice Agent and renew automatically each month.

• Month-to-month: All plans are month-to-month. No long-term contract is required.
• Cancellation: You may cancel at any time with thirty (30) days' written notice. Cancellations take effect at the end of the current billing period. No partial-month refunds are provided.
• Refunds: Monthly subscription fees are non-refundable once a billing period has begun. Build fees are non-refundable once work has begun.
• Taxes: You are responsible for any applicable taxes.

4. Call Recording

By using PBGAI services, you acknowledge and agree that:

• All calls handled by your AI agent may be recorded.
• Callers are notified at the start of each call that the call may be recorded.
• Call recordings and transcripts are stored on PBGAI servers and made available to you through your customer portal.
• You are solely responsible for ensuring your use of call recordings complies with all applicable federal, state, and local laws, including laws governing notice and consent to recording in your jurisdiction.

5. No Guarantee of Outcomes

PBGAI does not guarantee any specific business outcomes from the use of its AI agent services.

While our platform is designed to help you capture leads, book appointments, and manage inbound calls, results will vary depending on your industry, call volume, market conditions, and many other factors outside our control. PBGAI makes no warranty, express or implied, that use of our services will result in increased revenue, bookings, or customer acquisition.

6. Acceptable Use

You agree not to use PBGAI services to:

• Violate any applicable federal, state, or local law or regulation
• Make or facilitate calls that violate the Telephone Consumer Protection Act (TCPA) or any other telecommunications law
• Harass, threaten, or defraud any individual
• Impersonate any person or entity in a deceptive or harmful manner
• Transmit any content that is unlawful, defamatory, obscene, or invasive of another's privacy
• Attempt to reverse-engineer, copy, or replicate PBGAI's platform or AI configuration

PBGAI reserves the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you are using the platform in violation of these Terms or applicable law.

7. Customer Responsibilities

Business customers engage PBGAI under our AI Voice Agent Services Agreement, which sets out the full terms of service, fees, data handling, and SMS/text message consent (see Section 7 of that Agreement). As a PBGAI customer, you are responsible for:

• Providing accurate business information during onboarding so that your AI agent can be properly configured
• Notifying PBGAI promptly of any changes to your business hours, services, pricing, or staff
• Ensuring that your use of AI-handled calls complies with all applicable laws in your jurisdiction
• Maintaining the confidentiality of any PIN or access credentials provided for your client dashboard or portal
• Reviewing call recordings and summaries as needed to verify service quality

8. Intellectual Property

All content on pbgai.net — including text, graphics, logos, and AI configuration methodologies — is the property of Palm Beach Gardens AI LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any content from this website without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by applicable law, PBGAI, its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost business opportunities — arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total amount paid by you to PBGAI in the three months preceding the claim.

10. Disclaimer of Warranties

PBGAI services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

11. Indemnification

You agree to indemnify, defend, and hold harmless Palm Beach Gardens AI LLC and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any applicable law.

12. Termination

Either party may terminate the service relationship at any time. You may cancel by contacting us at sales@pbgai.net. PBGAI may terminate or suspend your access immediately, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the services ceases immediately.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will revise the effective date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

SMS Notifications

As part of the PBGAI service, you may receive automated SMS notifications from Palm Beach Gardens AI LLC. Consent is collected through one of three documented methods:

1. Website opt-in: Visitors to pbgai.net may check the optional, unchecked SMS consent checkbox on our consultation form. Checking this box is not required to submit the form.
2. Service Agreement (signing client): Business owners who sign our AI Voice Agent Services Agreement personally consent in Section 7 to receive SMS at the mobile number provided in their signature block. This consent applies to the signing individual only.
3. Staff SMS Consent Form: Additional staff members must individually complete and sign their own Staff SMS Consent Form before receiving any messages from PBGAI.

By consenting through any of the above paths, you agree to receive text messages from Palm Beach Gardens AI LLC at the phone number you provided.

• Message types: Post-call summaries, appointment confirmations, service updates, and operational notifications.
• Message frequency: Varies based on call and service volume — typically 1–10 messages per day per account.
• Rates: Message and data rates may apply.
• To opt out: Reply STOP to any message. You will receive one final confirmation and no further SMS will be sent.
• For help: Reply HELP to any message, or contact us at sales@pbgai.net or (561) 468-2878.
• Data sharing: Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
• Consent: Consent to receive SMS is not a condition of purchase or use of our services.
